Amendments may be proposed either by the Congress, through a joint resolution passed by a two-thirds vote, or by a convention called by Congress in response to applications from two-thirds of the state legislatures.
As per section 283 of the Companies Act 2006, you can amend a companys articles of association by passing a special resolution of the members, provided there is a legitimate reason for making such changes.
The special resolution to amend the Articles of Association must be passed by a majority of 75% or more of the members who vote at the meeting either in person or by proxy listing the resolution(s) proposed. A signed copy of the special resolution should be sent to Companies House within 15 days of the General Meeting.
The Articles of Association consists of the rules and regulations of the company, which should be complied with by every member, director and employee of the organization. Therefore, any clause in the AoA can be amended, provided it is done within the provisions stated in the Companies Act, 2013.
Writing an amendment is very simple. All you have to do is make an operative clause that adds, deletes, or changes an operative clause in a draft resolution.Examples include: Adds an operative clause that reads 14. Deletes operative clause 9. Changes operative clause 1 to read 1.
