Contract modifications generally require the same level of formality as forming the original agreement, including new consideration. There are exceptions for merchants under the UCC. Modifications without consideration may not be enforceable. If the original contract was in writing or under the statute of frauds, the modification may need to be in writing. The parties to a contract may agree to modify its terms. You must decide whether a reasonable person would conclude from the words and conduct of (claimant) and (defendant) that they agreed to modify the contract. You cannot consider the parties hidden intentions.
