To amend (change, add or delete) provisions contained in the Articles of Incorporation, it is necessary to prepare and file with the California Secretary of State a Certificate of Amendment of Articles of Incorporation in compliance with California Corporations Code sections 900-910.
Filing Articles of Amendment is the only way to notify the state of your desire to change the legal name of your business. They also demonstrate consent from essential members of your company, if director, shareholder, or officer ratification is required.
Changing Your Company Name When changing its name, company must get an approval from the state BEFORE officially using the new name. A corporation or LLC name is changed by filing an amendment to the Articles of Incorporation or Organization (Article of Amendment).
Articles of association (AoA) is a legal document that outline the rules and regulations of a company or organization. These articles exist to explain the details of a companys operations and also include financial records and information about key tasks that a company aims to complete.
At the meeting, members who collectively hold at least 75% of the voting rights must agree to the resolution to change the company name. A copy of the resolution has to be submitted to ACRA within 14 days of its passing. This may be done online through BizFile+ (Notice of Resolution transaction).
The company remains the same legal entity with the same registration number and other details, except for the change in its name. The process of changing the company name involves obtaining approval from the Ministry of Corporate Affairs (MCA) and updating the companys registration documents with the new name.
Section 13 of the Companies Act, 2013 deal with change of name which says that the name of the company can be changed by a special resolution and with the approval of the Central Government. Approval of Central Government is not required if the change relates to the addition/deletion of the words private to the name.
There are two ways in which a company can change its name. The first is that the shareholders (or members) pass a special resolution at a general meeting. The second is that the shareholders (or members) sign a written resolution that the name of the company should be changed to the new name.
