What is the difference between a member and an organizer? An LLC member is an individual or entity holding a membership interest in a limited liability company. An LLC organizer is the individual or entity responsible for filing the paperwork with the state to form a limited liability company.
No. An organizer simply prepares and submits your formation paperwork to the state. While its possible for an LLC owner (member) to serve as your LLC organizer, these roles are not otherwise connected, and your organizer does not need to be an owner.
Simply put, a Registered Agent is a person or company who agrees to accept legal mail and notices on behalf of your Limited Liability Company (LLC). And an Organizer is the person who files the formation documents to create your business (the legal entity) with the state.
No. An organizer simply prepares and submits your formation paperwork to the state. While its possible for an LLC owner (member) to serve as your LLC organizer, these roles are not otherwise connected, and your organizer does not need to be an owner.
Once the LLC is established, the organizer ceases to exist. On the other hand, a registered agent is an individual or an entity that primarily serves as the contact point between the state and the LLC during the LLCs operations.
Organizers usually perform duties limited to the initial creation and filing of the LLC documents. A registered agent is a businesss legal appointee to receive notice of lawsuit and other legal or government notices.
An LLC organizer is involved in the formation of the LLC. The organizer signs and files the Articles of Organization. The organizer of an LLC may be separate from the members or managers of the company.
LLC members can be their own LLC organizer, but its not necessary. No state law stipulates that an organizer must also be LLC members. Regardless, some states allow organizers to be the LLCs registered agent as well. Keep in mind that there should be at least one organizer for an LLC.
