Consent means that a person voluntarily and willfully agrees in response to another persons proposition. The person who consents must possess sufficient mental capacity. Consent also requires the absence of coercion, fraud or error. Consent is an essential constituent of a contract and a defense to a tort.
The exception to this is if such consent was caused by misrepresentation or by silence, fraudulent within the meaning of section 17, the contract, nevertheless, is not voidable, if the party whose consent was so caused had the means of discovering the truth with ordinary diligence.
The Civil Code defines a contract as a meeting of minds between two persons whereby one binds himself, with respect to the other, to give something or to render some service. For there to be a valid contract, these three elements must be present: consent, object, and cause.
Subject matter of a contract definition is the terms and conditions covered by this legally binding agreement. When two parties are involved in contract negotiations, the words subject to contract or without prejudice are used to indicate that negotiations are ongoing and the contract is not final.
The basic elements required for the agreement to be a legally enforceable contract are: mutual assent, expressed by a valid offer and acceptance; adequate consideration; capacity; and legality.
