Under the common law and the UCC, contracts can be modified with the same level of formality as creating the original agreement. Generally, new consideration is required for modifications, with exceptions for merchants under the UCC. Unilateral modifications without consideration may not be enforceable. If the original contract was in writing or under the statute of frauds, the modification typically needs to be in writing as well. Jurisdictions may differ in their requirements for modifications under the common law.

Article 77 of the Contract Law provides that a contract may be modified if the parties docHub a consensus through con- sultation. 3 Article 77 has several implications. First of all, the parties are free to modify the contract between them. Secondly, the modification shall be made by the agreement of the parties.
This is called a post-signature amendment and requires a written agreement between the two parties. In order to alter the original agreement, you will have to sign a new contract that defines the necessary changes. This second contract remains valid for as much time as the initial document.
If the same definitions are used as in the original agreement, then state this to make it clear. Like any contract, generally, an addendum requires consideration, even if its nominal. Specify what each party gains from the addendum. Share the draft with all parties involved and welcome feedback.
A contract modification exists when the parties to the contract approve the modification either in writing, orally, or based on the parties customary business practices.
Thus, under common law rules, parties who wish to modify a contract will need to provide new consideration (i.e., something of value). Lastly, if a contract or a modification is controlled by the SOF, then any changes must be made in compliance with those rules as well.
Under the UCC, however, a contract can be modified without any additional consideration. Additionally, unlike under the common law, under the UCC a contract may be discharged due to impracticability.
Consideration is required to support enforcement of an agreement, including a modification to an agreement.
