What Does ASC 842 Mean for You? ASC 842 requires organizations with lease assets to recognize nearly all leases as assets and liabilities, whether classified as operating leases or financing leases, subject to certain exemptions.
For sale-leaseback transactions that qualify as sales, ASC 842 requires the seller-lessee to disclose the main terms and conditions of the transaction and any gains or losses from the sale-leaseback, separately from gains or losses from the sale or disposal of other assets.
ASC 842, or Topic 842, is the new lease accounting standard issued by the FASB and governs how entities record the financial impact of their lease agreements. Among other changes, it requires all public and private entities reporting under US GAAP to record the vast majority of their leases to the balance sheet.
Under IFRS 16, ISAB explicitly states that the materiality threshold is $5,000, so anything less than that does not need to be on the books. Although FASB, under ASC 842 has not explicitly outlined the materiality threshold so lessees must use judgement to assess materiality.
Under ASC 840, land is separately classified when the fair value of the land is 25% or more of the combined fair value of the land and building. Under ASC 842, the determination of whether or not a contract is a lease or contains a lease is done at the inception date.
No payments, or de minimis payments, due ASC 842 defines a lease as a contract, or part of a contract, that conveys the right to control the use of identified property, plant, or equipment (an identified asset) for a period of time in exchange for consideration (emphasis added).
ASC 842 does not contain a materiality threshold for the recognition of a lease; however, paragraph BC122 of ASU 2016-02 states: Entities can adopt reasonable capitalization thresholds below which lease assets and lease liabilities are not recognized, which should reduce the costs of applying the guidance.
After receiving an extension, private companies must comply with ASC 842 by their first annual report of 2022 which, for most calendar-year companies, was December 31, 2022.
