Changes to your directors and officers must be reported to the Ontario government within 15 days. For example, you must do this when a director or officer is elected, appointment by the board, or resigns. You can file this form yourself online using the OBR or by mail.
Amending bylaws procedures, such as the required notification, documentation, and majority vote required to revise, add, or delete a portion of the existing bylaws. Membership rules (if applicable), including eligibility guidelines for membership and member rights.
Common bylaws include vehicle parking and stopping regulations, animal control, building and construction, licensing, noise, zoning and business regulation, and management of public recreation areas.
If the entire board is in violation or is not being responsive, that may be grounds for a lawsuit or other formal legal action that may require involving external authorities. Again, seek legal advice about how to best proceed in order to resolve these issues.
Corporations may pass a special resolution at a general meeting or may use a written vote. An ordinary resolution can only be used to amend bylaws that conflict with the Act and regulations. Any other bylaw amendments or the addition of new bylaws will require a special resolution, as normal.
By-laws are the primary legislative instrument of municipalities in Ontario, including the City of Toronto. City Council makes decisions by adopting or amending recommendations from its committees and City officials contained in reports and communications.
Most bylaw changes can be passed by whats called an ordinary resolution. An ordinary resolution is one that is passed when a majority of members vote in its favour unless your bylaws say otherwise. But there are some bylaw changes that can only be passed by special resolution.
To amend your articles, a special resolution needs to be passed at a special meeting. These changes include: changing your corporate name. changing the province or territory in which your registered office is located.
