Updated July 21, 2020: Is a contract valid if not signed by both parties? A written contract must be signed by both parties to be legally enforceable.
A contract not signed by one party makes it an agreement that isnt legally binding. Valid contracts need to have all required elements in it, and they are enforceable under federal and state laws. The two parts of a contract are the offer and acceptance.
A settlement agreement need be signed by only one of the parties to be enforceable under Code of Civil Procedure 664.6. The court can enforce a settlement pursuant to Code of Civil Procedure 664.6 if the parties state in the settlement agreement that the court will reserve jurisdiction.
A confidentiality clause in a settlement agreement usually requires that the plaintiff, who is the injured person, cannot disclose the agreements contents or the amount of the settlement to anyone unless required by law.
Does a contract always need to be signed? Yes, a contract does need to be signed to become a valid contract. There are occasional cases where oral contracts or unsigned contracts may still comply with contract law, but those are risky.
If youre concerned about sensitive statements your client might make during a settlement negotiation, consider entering into a written agreement up front providing that both sides will keep the settlement communications confidential and not offer them as evidence for any purpose.
