(light music) - [Narrator] When it comes to assigning contracts in real estate, the concept can be a little tricky to grasp at first. So Im gonna start by explaining how assignments were meant to be used, and then Im gonna give an example of how they can be used with an interesting loophole. Lets say youre a real estate investor who doesnt like to buy properties with basements. One day, you get a lead on an investment property from a seller who says the property was built on a slab foundation. You both agree on doing a deal and enter into a purchase agreement but, lo and behold, during your due diligence you find out that the seller wasnt entirely honest with you, and the property does indeed have a basement. (screams) At this point, you have two options: You can back out of the deal and walk away, or if you happen to know another investor who doesnt mind properties with basements and they like the deal, you can assign your rights in the purchase agreement to this other investo

Avoid starting a sentence with a figure; otherwise, write the number in words instead. For example: 500 or five hundred but not 5 hundred. EUR 3,000 or three thousand euro but not EUR 3 thousand. 2.5 million, 3 million, 31 billion.
Assign is the act of transferring rights, property, or other benefits to another party (the assignee) from the party who holds such benefits under contract (the assignor). This concept is used in both contract and property law.
2) - Numbers up to and including ninety-nine should be written out in words.
Both individuals and legal entities can have assigns. An assign is a third party, not a party to the contract, to whom one of the party transfers any of that partys rights or obligations under the contract. Sometimes contracts prohibit assignment without the consent of the other party.
Exhibits should be numbered (1, 2, 3) or lettered (A, B, C) consecutively in the order they are first encountered in the body of the contract.
A successors and assigns clause, sometimes also referred to as a binding effects clause, states the contracting parties intention that their respective successors and assigns be entitled to the benefits of, and subject to the obligations created by, the contract.
It is generally best to write out numbers from zero to one hundred in nontechnical writing. In scientific and technical writing, the prevailing style is to write out numbers under ten. While there are exceptions to these rules, your predominant concern should be expressing numbers consistently.
The Federal name for a contract number is a PII number (Procurement Instrument Identification number). The PII number is a 13 alpha-numeric character identifying each contract award.
If an instrument contains contradictory terms, typewritten terms prevail over printed terms, handwritten terms prevail over both, and words prevail over numbers.
Fortunately, the rules about numbers in writing are much easier and more scintillating than the definitions of words related to numbers. The Chicago Manual of Style, The Bluebook and the ALWD Guide to Legal Citation all suggest spelling out numbers from zero to ninety-nine.
