On June 28, 2024, New Jersey Gov. Phil Murphy signed legislation, A.B. 4704, which enacts a 2.5% surtax, termed the Corporate Transit Fee, on certain Corporation Business Tax (CBT) taxpayers that have New Jersey allocated taxable net income over $10 million.
A penalty of $100 per month (or fraction thereof) for each month the return is late will also be imposed. Late Payment Penalty: 5% of the balance of the taxes due and paid late.
Form 100S is used if a corporation has elected to be a small business corporation (S corporation). All federal S corporations subject to California laws must file Form 100S and pay the greater of the minimum franchise tax or the 1.5% income or franchise tax.
Corporations Required to File A corporation that has elected and qualifies to be an S corpora- tion pursuant to Section 1361 of the Internal Revenue Code is required to file Form CBT-100S unless the shareholders elect to be treated as a C corporation for New Jersey purposes.
