Idaho corporate bylaws are a set of rules that are adopted by a companys incorporator or board of directors after the articles of incorporation have been filed. Bylaws are kept with the corporations private records and used internally to delineate the structure and management of the corporation.
It is important to realize, however, that bylaws are not required as a matter of law with one exception. Bylaws are required when the articles of incorporation do not specify the number of directors in a corporation.
