Contracts have three essential elements: an offer, an acceptance of that offer, and sufficient consideration, or what each party will get out of the contract. The contract should be written in such a way that the parties involved clearly understand the contract without an attorney to interpret it.
The objective of interpretation in the general law of contracts is to carry out the understanding of the parties rather than to impose obligations on them contrary to their understanding: the courts do not make a contract for the parties.
They provide a framework for resolving disputes and guiding the parties actions. By interpreting contracts in a consistent and principled manner, courts uphold the parties intentions, maintain predictability in contractual relationships, and promote the rule of law.
For a contract to be legally binding, and therefore enforceable, it needs to satisfy four principles: offer, acceptance, consideration and the intention to create legal relations. Consideration requires the exchange of something of value and to make a contract there has to be a clear intention.
An Interpretation clause explains the rules on how to interpret certain words or phrases (which are not defined) or concepts that are referred to in the agreement. Like a Definitions clause, an Interpretation clause can make the agreement shorter and simpler, and it avoids repetition.
Cover is a term used in the law of contracts to describe a remedy available to a buyer who has received an anticipatory repudiation of a contract for the receipt of goods. Under the Uniform Commercial Code, the buyer is permitted (but not required) to find another source of the same type of goods.
It must be reasonable and equitable. It must be necessary to give business efficacy to the contract no term will be implied if the contract is effective without it. It must be so obvious that it goes without saying (the so-called officious bystander test) It must be capable of clear expression.
