Good faith modification: A modified contract is a kind of new agreement, which changes parties obligations and then requires new consideration. But contract modification made in good faith under UCC is enforceable even without consideration.
A contract amendment allows the parties to make a mutually agreed-upon change to an existing contract. An amendment can add to an existing contract, delete from it, or change parts of it. The original contract remains in place, only with some terms altered by way of the amendment.
When you want to modify a services contract or a services portion of a mixed contract, you will need additional consideration. That additional consideration could be money or extra services, but there must be something more to benefit both parties.
Any contract can be modified before or after signing the agreement, but all parties must agree to the changes. If any party doesnt agree to the modification, the changes are invalid.
Consideration can be money, tangible personal property, real estate, services or even the refraining from doing something. In general, consideration is one of the essential requirements that both parties must provide before a contract can be binding (some types of contracts are excepted, however).
A contract modification exists when the parties to the contract approve the modification either in writing, orally, or based on the parties customary business practices.
Under the UCC, however, a contract can be modified without any additional consideration. Additionally, unlike under the common law, under the UCC a contract may be discharged due to impracticability.
Under common law, a party to a contract needs new consideration -- something of legal value -- to modify a contract.
