When settling a lawsuit or pre-litigation disputes, parties sometimes insist on including non-disparagement clauses in their settlement or severance agreements. Broadly speaking, these clauses prevent one or both parties to the agreement from making negative comments about each other.
For example, the clause may prevent the party from speaking negatively to others, emailing or texting such comments to others, or publishing (or reposting or liking) negative comments on social media. As to whether the non-disparagement clause is lawful, that depends on whether certain exceptions are provided for.
In some cases, non-disparagement clauses may include liquidated damages for violations, outlining a specific monetary penalty. These clauses commonly contain provisions stating that the parties agree not to sue each other for any past or future disparaging remarks.
Non-disparagement clauses are typically very broad in terms of what media they cover. For example, the clause may prevent the party from speaking negatively to others, emailing or texting such comments to others, or publishing (or reposting or liking) negative comments on social media.
What Is a Non-Disparagement Clause? A non-disparagement clause simply states that you wont say anything negative about the company or its products, services, or leadersin any form of communication.
Readers should note that disparagement is not the same as defamation. Defamatory statements are factually false statements that harm the targets reputation. Disparaging statements harm the targets reputation regardless of whether they are true, false, factual, or opinion-based.
Example: The following non-disparagement clause would be unlawful under Government Code section 12964.5: Former Employee agrees that they will not make any statement, directly or indirectly, verbally or in writing, that would cause harm or embarrassment to the Company.
Generally, only the unlawful provisions are struck out of an agreement. However, the NLRB will consider each case on its facts. Overly broad confidentiality and non-disparagement clauses would be unlawful even if the employee requests them.
