Increasing Goodwill If the market value of the business increases to an amount greater than goodwill, the asset cannot be increased to reflect that new value. The only way goodwill can be increased is through the acquisition of another company as a subsidiary.
Goodwill is a peculiar asset in that it cannot be revalued so any impairment loss will automatically be charged against income. Goodwill is not deemed to be systematically consumed or worn out thus there is no requirement for a systematic amortisation.
In 2001, a legal decision prohibited the amortization of goodwill as an intangible asset; however, in 2014, parts of this ruling were rolled back. Now, private companies can elect to amortize goodwill on a straight-line basis over 10 years, although this election is not required.
ASC 805 requires disclosure of the nature and amount of any material, nonrecurring pro forma adjustments directly attributable to the acquisition included in the reported pro forma revenue and earnings.
The difference between the amount that the company paid for the asset and the book value of the asset is known as goodwill. The company has to adjust the book value of that goodwill down if it becomes impaired.
If the company decides it has too much goodwill, then goodwill is impaired. The company writes down goodwill by reporting an impairment expense. The amount of the expense directly reduces net income for the year. So a $10,000 goodwill impairment expense means a $10,000 reduction in net income.
ASC 805-10-25-13 If the initial accounting for a business combination is incomplete by the end of the reporting period in which the combination occurs, the acquirer shall report in its financial statements provisional amounts for the items for which the accounting is incomplete.
