Final Reports: An entity that ceases doing business in Texas for any reason (i.e., termination, withdrawal, merger, etc.) is required to file a final franchise tax report and pay any additional tax, if due. The final franchise tax period will be available on Webfile in one to two days.
A $50 penalty is assessed on each report filed after the due date. If tax is paid 1-30 days after the due date, a 5 percent penalty is assessed. If tax is paid over 30 days after the due date, a 10 percent penalty is assessed.
The report year equals the year filed. Texas Franchise tax privilege periods, other than initial reports and final reports, are defined as having a January 1 to December 31 calendar year, even if the federal return is for a fiscal year.
Each taxable entity formed in Texas or doing business in Texas must file and pay franchise tax.
