What are Forms 1065 and 1120-S? Both Form 1065 and 1120-S are versions of Schedule K-1, which reports pass-through earnings to the IRS. Form 1065 is for partnerships, and Form 1120-S is for S corporations, but both serve the same purpose.
If the LLCs only member is a corporation, the expenses and income will be reported on Form 1120S or Form 1120. However, single-member LLCs cannot file a partnership tax return. LLCs that have multiple members will file Form 1065. If they would prefer to file as a corporation, they must submit 8832.
When a business is legally structured as a corporation, it must also choose between a C-Corp or an S-Corp status. In the U.S., C-corporations report their tax information using Form 1120. A business organized as an S-Corp will file a different annual tax form, Form 1120-S.
Owners of C corporations use Form 1120 to report their business expenses and income. They complete Form 1040 for their personal income. They do not need to report business expenses on their personal 1040 form because Form 1120 handles their business taxes.
Conversion between 1120 and 1120S returns must be performed when rolling forward from a prior year return, but may be performed individually or as a batch operation.
