New Missouri Law Requires LLCs to Register Before Making Political Contributions. On August 28, 2022, a new Missouri statute governing political contributions by limited liability companies (LLC) will take effect.
In addition to articles of organization, Missouri statute requires all limited liability companies to have an operating agreement.
Default State Laws Apply: Without an operating agreement, your LLC is automatically subjected to the default state laws where the LLC was formed.
Its a common belief that, with only one member, such an agreement might be unnecessary. However, having this document offers legal protection and clarity. It reinforces the fact that the LLC is a separate entity, which is important for tax purposes and personal liability.
An initial application by a partnership to register a limited liability partnership expires one year after the date of registration unless renewed. Thereafter, a renewal is required annually.
