Pennsylvania Annual Report Service Filing Instructions. Starting 2025, all Pennsylvania corporations, nonprofits, LLCs, and LPs will need to file an Annual Report with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. It costs $7 for for-profit companies, $0 for nonprofits.
The members of an LLC are required to adopt a written Operating Agreement. See Section 417 of the Limited Liability Company Law. The Operating Agreement may be entered into before, at the time of, or within 90 days after the filing of the Articles of Organization.
Though its not required by Pennsylvania law, any good lawyer will recommend having a written operating agreement for your LLC.
Although most states do not require the creation of an operating agreement, it is nonetheless regarded as a critical document that should be included when forming a limited liability company. Once each member (owner) signs the document, it becomes a legally binding set of regulations that must be followed.
Member-managed LLC. A member-managed LLC is a business entity in which all members participate in the decision-making process. Each member has an equal right to manage the LLCs business, unless otherwise stated in the operating agreement. If a dispute arises, the vote of a majority generally rules.
