Franchise agreements can end either by some form of termination or by expiring by their own terms. When most franchise agreements expire, the franchisee will generally have an opportunity to renew the franchise agreement.
In a termination, the franchisor cancels the agreement before the end of the contract term, while non-renewal sees the franchisor refusing to renew the agreement at the end of its term. From the franchisees perspective, the result is the same: you lose your business.
Can I leave the franchise if things dont work out? If for whatever reason things arent working out as youd expect, you can sell the business, and the franchisor will help you to find a buyer. If you cant find a buyer, you would close the business down, tie up loose ends, and liquidate your company.
Often the best answer to a franchise that is not succeeding is for the franchisee to sell the business to a third party who becomes the new franchisee for that territory. This allows the failing franchisee to terminate its obligations under the franchise agreement and under any lease.
Future Lost Profits/Liquidated Damages Franchisees may also be responsible for fees, royalties, and losing the right to operate. They are also expected to pay the franchisor for the remaining term. This is similar to when a tenants lease is terminated, but they still owe rent for the remaining years of the lease term.
The typical length of a franchise agreement is between five and 20 years. A common reason for this general length of time is often the size of the franchisees initial investment, though market conditions and the type of franchise can also be factors.
A franchisee is usually not allowed to terminate the franchise agreement unless the franchisor committed a material bdocHub (which generally means they did not fulfill one or more of their obligations to the franchisee).
For franchisees wishing to get out of the franchise there is another avenue, one that franchisees commonly pursue in Ontario. It is the rescission (meaning cancellation) avenue.
