I hereby undertake to treat as confidential all and any information that I receive while participating in the work of evaluating project proposals, to use this information solely for the purpose of evaluation of the proposals, not to disclose it to any third party and not to make it publicly available or accessible
If the NDA prohibits you from telling someone you signed it, then yes. If not, then yes, you can tell someone you signed an NDA. In fact, if someone tries to obtain confidential information from you, you probably could tell them that you signed an NDA and therefore refuse to disclose to you that information.
Most standard NDAs follow this format: Introduction. Definition of confidential information. How to handle confidential information. Exclusions from confidential information. Obligations of receiving party. Duration of agreement. Resolving disputes. Integration.
Most NDAs will have a clause allowing either party to amend the agreement. An example of this clause is as follows: This agreement may only be amended by a written instrument executed by the parties.
Receiving Party shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement.
I think its smart that shes had employees sign NDAs. Never provide confidential information without an NDA. They didnt make any of us sign an NDA or anything. I am unable to deliver a full-blown project summary until we have signed an NDA.
The purpose of a non-disclosure agreement is twofold: confidentiality and protection. Information protected by a confidentiality agreement can include everything from product specs to client rosters. Business models, test results and even embargoed press releases or product reviews can all be covered by an NDA.
A non-disclosure agreement (NDA), also known as a confidentiality agreement, is a legally binding contract in which one party agrees to give a second party confidential information about its business or products and the second party agrees not to share this information with anyone else for a specified period of time.
