A variation clause to allow one party to vary the terms of an agreement.
A unilateral jurisdiction clause, also known as an asymmetrical jurisdiction clause or a one-sided jurisdiction clause, provides that one party must sue the other party in the courts of a specified country while the other party remains free to sue the first one in the jurisdiction of its choice.
As a general rule, in order to vary a contract, both parties need to agree to this prior to the changes taking effect, preferably in writing. Unilateral variation (ie where only one party can make a change) is only valid under specific circumstances if this has been agreed in advance.
For example, in the case of a unilateral variation clause where the employee has exercised their autonomy to agree to a provision that permits the employer to change the terms of the contract of employment without the approval of the employee contract law recognises that mutual consent is superfluous.
If you have a term that gives you the right to change elements of a contract, after it has been agreed with your customer, this is known as a variation clause. You might try to use this type of term to adapt a long-term contract if the circumstances around it change.
Examples of UCTs could include indemnities, liability caps and time bars which are not reasonable and proportionate in the circumstances. The UCT regime provides small businesses and consumers with the ability to: seek that UCTs be declared void and unenforceable in Court; and.
