A common question in many of the trainings I teach is: Should I mark the required fields in a form? If most fields in the form are required, should we still mark them? The short answer is: yes. If the Court decides that a company was traded while insolvent, the Directors can be held personally liable for company debts. There is no financial limit on how much a Director can be held liable for, and they may need to file for personal bankruptcy to resolve the debt.
Directors For directors, a compulsory strike-off can result in personal liability for the companys debts and potential legal action. They may also face restrictions on their ability to act as directors of other companies in the future, including disqualification.
Liquidation generally refers to the process of selling off assets in order to pay creditors, while strike off involves permanently closing down a business. In some cases, businesses may choose to pursue both options in order to fully dissolve the company. Liquidation can be either voluntary or involuntary.
A strike off action in progress notice alerts all involved of the impending winding-up of that company, which will no longer legally exist once concluded. This deregistration may be requested by the company directors/appointed liquidator or instigated by ASIC independently.
If you were a director of a company in compulsory liquidation or creditors voluntary liquidation, youll be banned for 5 years from forming, managing or promoting any business with the same or similar name to your liquidated company. This includes the companys registered name and any trading names (if it had any).
After your company is struck off Youll lose access to company bank accounts. You will not be able to send or receive money. Youll have to restore the company to get your bank accounts back.
Striking off allows the directors to retain full control of the business throughout the process and, although creditors must be repaid before the closure, there is no requirement to hold a formal creditors meeting.
A compulsory strike off means that your company has been removed from the official register at Companies House and formally closed. Its sometimes referred to as dissolution and tends to be issued on the grounds that the company in question is no longer trading or has failed to conform to legal requirements.
During a voluntary strike-off, this means that directors must either liquidate any assets and keep the money, or transfer them elsewhere. If neither of these options is taken, then the assets, including company accounts, will be transferred to the Crown upon the companys closing.
Compulsory strike‐off can be initiated by Companies House, or sometimes by a creditor. The notice advises the general public, suppliers, institutions, and other parties associated with the business that it will be closed down, and enables anyone wishing to challenge the closure to object.
