A vendor contract should specify the details of the work the vendor will complete, provide for the quality of any goods provided, the contract term, payment terms, and an indemnity provisions that will cover any loss arising from negligence.
The basic elements required for the agreement to be a legally enforceable contract are: mutual assent, expressed by a valid offer and acceptance; adequate consideration; capacity; and legality. In some states, elements of consideration can be satisfied by a valid substitute.
What to look for in vendor contracts Scope. A vendor contract will describe the products or services included in the contract and how those products or services will be delivered. Timing. Price and payment. Termination. Consequences.
Include a signature block. Both you and the other party should sign the letter. Make two signature blocks, one for each party. Type your name under the signature line and create another line beneath the signature line for the date. Just above the signature block type the words Understood and Agreed.
You can make changes directly on the contract by using a redline or strikethrough method. This is a more informal way to make changes to contracts, but it is normally effective. You simply cross out the language that no longer applies and re-write the language that should be applicable.
