Text as Contracts The answer is YES assuming certain elements are met. Courts that have been faced with this question have found that agreements entered into via text messages are enforceable borrowing from basic contract formation principles and the reasoning applied to email messages.
In fact, the form of communication used to make a contract isnt actually relevant so an SMS (or a WhatsApp message, or a Twitter DM, or an email), can constitute a contract. And it doesnt need to have a pen-and-ink signature at the end to make it official.
Text messaging leaves an electronic record of dialogue that can be entered as evidence in court. Like other forms of written evidence, text messages must be authenticated in order to be admitted (see this article on admissibility by Steve Good).
So, if text messages or direct messages appear casual but contain the necessary contractual language, the text is considered legally binding.
Regardless of whether your agreement is made verbally, in writing, via text message exchange, or downloaded from the internet, if the three factors are present: offer, acceptance, and consideration, a legally binding contract may be found.
If the agreement does not say when an SMS is deemed to be received, however, the supplier would have to prove receipt. As a result we would recommend that SMS not be used for any important contractual notice.
