Derek: Hi, everyone. Derek Johnson with tatango.com. Today, were talking with Joe Bowser from Innovista Law in the TCPA Defense Force here at Innovista Law. And today were gonna be talking about arbitration agreements, what they are, why theyre important and how they apply to text message marketing. So, first off, Joe, what is an arbitration agreement? Joe: Arbitration agreement is essentially an agreement between you and whomever youre interacting with. If you have a dispute, youre not gonna resolve it in court. Youre going to arbitrate and thats typically before a third party panel like the AAA or JAMS. These are organizational bodies that facilitate arbitrations. They may have panel arbitrators that you can choose from. But theyre essentially like judges without the rope. Derek: Okay. Joe: So, youve both just agreed. Look, if we have a fight, were not gonna go to court to resolve it. Often, arbitration agreements also haveand this is important in the TCPAwhat are called

The advantages include the following: The arbitration process is less costly and generally faster than going through the courts. Unlike in a court case, where the contested issue is heard before a judge, in an arbitration you often have a say over who will be the arbitrator.
In the event that a party fails to appear at the arbitration, the arbitration must still proceed. The party who is present must present evidence in support of their entire claim, proving to the arbitrators satisfaction both liability and damages. An arbitrator may not issue an award solely on the default of a party.
No company can benefit from arbitration clauses more than high-volume businesses that sign hundreds or thousands of contracts a year. Implementing arbitration clauses in your business contracts can help save thousands, if not millions, in legal fees.
Because arbitration prevents your claims taken seriously, theres no upside to remaining in a mandatory arbitration agreement. Even if you opt out, you can still choose arbitration to settle a dispute, so theres no downside to opting out.
There are two forms of arbitration: binding and nonbinding. Under binding arbitration, the parties agree to accept the arbitrators decision as final, limiting their right to seek resolution of the dispute by a court.

The purpose of an arbitration agreement is to limit litigation costs and keep disputes confidential. Unlike the process of a trial or other court proceeding, arbitration is often faster and is not public record, saving cost and limiting publicity of the matters.
The disadvantages of arbitration Both sides give up their right to an appeal, which means one party could end up feeling slighted. If the matter is complicated but the amount of money involved is modest, the arbitrators fee may make arbitration uneconomical.
