1. Performance Share Unit. A Performance Share Unit (a PSU) is equal in value to one share of common stock of the Corporation (Common Stock). PSUs are generally convertible into shares of Common Stock if and to the extent the associated pre-established performance targets are achieved (see Vesting below).
Performance shares are a type of stock that is awarded to an employee based on the companys performance. For example, a company may award performance shares to employees if the company meets certain financial goals. The number of performance shares an employee receives will depend on the companys overall performance.
RSUs vest solely based on time; PSUs are RSUs with vesting based on the achievement of future performance conditions. The actual award of PSUs may range from zero to a multiple of the initial target award based on perfor- mance achieved.
The merits of Stock Options vs RSUs primarily depends on the stage of the company. Stock Options are usually better for both employee and employer at an early stage company. For a later stage company, RSUs are usually better for both.
What Are Performance Shares? Performance shares, as a form of stock compensation, are allocations of company stock given to managers and executives granted only if certain company-wide performance criteria are met, such as earnings per share (EPS) targets.
RSU/PSU Plan means the Amended and Restated Plan for Restricted Share Units and Performance Share Units of the Company, as described in the Company Filings; Sample 1Sample 2. RSU/PSU Plan means the Yellow Media Limited Restricted Share Unit and Performance Share Unit Plan, as same may be amended from time to time.
PSU Vesting Date means the date on which a PSU Award, or any portion thereof, vests and becomes payable to a Participant pursuant to the terms of this Plan, generally being the last day of the Performance Period applicable to such PSU Award, subject to adjustment as provided in this Plan; Sample 1.
