What is the Minute Book? The Minute Book is a record of all key corporate documents. The Minute Book will typically contain minutes of shareholders meetings and minutes of directors meetings, articles of incorporation, bylaws, directors resolutions, shareholders resolutions and annual reports.
A minute book refers to the book kept by a limited liability company, corporation, or partnership that contains records of the business entitys actions. It consists of the businesss articles/certificate, bylaws (if any), operating agreement (if any), minutes, or written actions in lieu of meeting minutes.
It keeps tracks of important corporate documents and company decisions such as dividend payouts, issuance of shares, loans and mortgages, shareholder agreements, major financial transactions, and payment of bonuses to officers and directors.
Not only are corporations required provincially and federally to maintain certain records, but they are also required by law to keep them up to date.
