An agreement joining a person as party to another agreement as if such person was an original party to such agreement. Joinder agreements are commonly used when new stockholders or LLC members receive equity and are made party to an existing stockholders agreement or LLC agreement.
Here is an example of a generic joinder provision: In order for any person or entity (a Person) to be added as a party to this Agreement (a New Party), such Person shall have executed and delivered a joinder to the Company substantially in the form of Exhibit [] attached hereto.
As a reminder, there are five types of joinder that you should master: one, permissive joinder; two, required joinder; three, intervention; four, impleader, or third-party actions; and five, class actions.
Necessary joinder occurs when the parties or claims must be added to the lawsuit in order for the suit to proceed. Permissive joinder occurs when the parties or claims are permitted to be added to the lawsuit; if they are not added, the court will still allow the lawsuit to proceed.
There are two types of party joinder: permissive and required. As with all parties to a lawsuit, the party joining must be subject to personal jurisdiction, and their joinder must not destroy subject matter jurisdiction.
The shadow rules reveal a world in which some commonalities are more important than others, in which commonalities of fact and commonalities of law are given different weights, and in which the categorization of an issue as one of fact or as one of law makes all the difference to the joinder outcome of a case.
In summary, Federal Rule of Civil Procedure 20 allows for the permissive joinder of multiple partieseither as plaintiffs or defendantsin a lawsuit when their claims share common questions of law or fact, arising from the same transaction or occurrence.
If several persons have conflicting claims to the property involved in the lawsuit or to a fund of money, they may be interpleaded or joined in the lawsuit as defendants. For example, an association had a fund of money that it had collected from its members.
