The Terminating Party will assign, and hereby assigns, to the Continuing Party all of the Terminating Partys rights, title and interest in and to the Terminated Product Trademarks for such Terminated Product (including any goodwill associated therewith), including all registrations therefore.
The assignor or assignee, or both, can make a joint request to register the assignment by filing an application of a trademark assignment in Form TM-P to the register of trademarks. Form TM-P must be filed with the registrar of the trademark within six months from the date of the assignment.
The six basic requirements for trademark registration are: Identify the trademark owner. Specify whether the trademark owner is a business or person. State whether the trademark is in use or there is a real intent to use. Provide a drawing of the trademark. List the products and/or services sold under the trademark.
The symbol (often seen in superscript like this: ) is used to provide notice to the public that a trademark or service mark is registered. In most jurisdictions, the may be used only after registration of the mark is granted.
A font can be trademarked when it is used in a trademark. When a font is part of a name, logo, or slogan used to brand products and services, it can be a trademark font. So, a font can be protected by trademark law when used to brand products or services.
All trademark assignments must transfer the good will that is associated with the use of the mark for a particular business. Section 10 of the Trademark Act (Lanham Act) requires any trademark application or registration be assigned in writing along with the good will of the business symbolized by the trademark.
If youre assigning a registered trademark, you should register the transfer of ownership with the Canadian Intellectual Property Office (CIPO). If your mark is unregistered, you dont have to register the transfer.
You must complete the online form, upload the assignment, and pay the government filing fees (which are quite minimal). Its important to promptly record the assignment so that the USPTO records remain accurate and so that the public is put on notice as to the rightful owner of the trademark.
