[Music] okay what is recision or resending a contract well this is where the parties attempt to just do away with the contract to um to basically act as if the contract never existed okay to to undo their duties and obligations under the agreement well and depending on whether its a contract under the common law or Under the UCC um the the standard will vary just a bit so under the common law um to resend the contract uh generally uh new consideration is is not required um if the parties have not begun performance at all then the parties can simply agree to walk away from the agreement um and can do so under the same level of formality as uh the original contract so if the original contract was under account law was not uh required to be in writing then simply an oral agreement to resend the contract could be effective as between the parties under the uccc however um if the contract it falls under statute fors and is required to be under writing uh it any recision of the contract gene
