hey my name is steve parr i am a vancouver british columbia business lawyer and today were going to take a look at the articles of incorporation of a company so this is a british british columbia business corporations act company so that means that the articles need to comply with the rules that are set out in that statute so statute refers to legislation thats generated by by the government so um so were not going to cover off everything here theres way too much inside of an articles uh instead of articles to possibly fit inside of a video so boring you to absolute absolute tears um but in this were just going to cover the the basics here and take a special look at the shares so the special rights and restrictions generally the articles of incorporation tend to be fairly boilerplate there are important exceptions so um that we cant get into at this point but in general the articles are are are going to be fairly boilerplate and and these kind of items here up until part 1 throu

A general statement such as The purpose of the corporation is to engage in any lawful activity for which corporations may be incorporated in this state is usually sufficient. In many states, this type of statement will be preprinted on the Secretary of States articles of incorporation form.
Your states Secretary of State typically provides the articles of incorporation form for you fill out and submit usually via an online downloadable form though you may be able to create your own document with the necessary information.
Typically, the articles must contain, at the very least: the corporations name and business address. the number of authorized shares and the par value (if any) of the shares. the name and address of the in-state registered agent. the names and addresses of its incorporators.
Corporate names included in articles of incorporation cannot include words or phrases that imply a purpose other than that identified in the document.
Whichever route you choose, under Florida Statute 607.0202, you must always include these five provisions in articles of incorporation. The Corporate Name. Principal Address. Capital Stock. The Registered Agent and Office. The Name and Address of Each Incorporator.
The articles should include: The corporations name, location, and purpose. The number of shares the corporation is authorized to issue. The registered agents name and registered offices address. Each incorporators name and address. The names of each initial director. The corporations purpose and primary activities.
Articles of Incorporation Document Requirements Name and address of the registered agent. Type of corporate structure (e.g., profit corporation, nonprofit corporation, non-stock corporation, professional corporation, etc.) Names and addresses of the initial board of directors. Number and type of authorized shares.
