What is a Business Associate Agreement? A Business Associate Contract, or Business Associate Agreement, is a written arrangement that specifies each partys responsibilities when it comes to PHI. HIPAA requires Covered Entities to only work with Business Associates who assure complete protection of PHI.
The HIPAA Business Associate Agreement contract should be written in the following sequence: Definitions. Obligations Activities of Business Associates. Disclosures by Business Associates. Permissible Requests by Covered Entity. Term Termination.
A BAA is a legally binding agreement that a HIPAA covered entity and business associate must enter into to protect PHI. It is mandated by the HIPAA Security Rule. A NDA is also a legally binding agreement however, it is not required by HIPAA and it is not entered into to ensure the protection of PHI.
The BAA sets forth the expectations and requirements of both parties both you and the vendor, and of course, as a contract, it is a legally binding document. As such, a BAA is required any time you are working with a vendor or contractor who will come into contact with PHI on your organizations behalf.
A Business Associate Agreement (BAA) is used when fully identifiable personal health information (PHI) is being shared with another party. BAAs are meant for specific circumstances and if those circumstances are not met, a Data Use Agreement (DUA) should be used.
The purpose of the BAA is to protect the data and ensure that any party who performs functions/activities on behalf of the covered entity and will handle PHI in carrying out those duties adhere to certain standards to protect the data.
