What Is a Letter of Intent (LOI)? A letter of intent (LOI) is a document declaring the preliminary commitment of one party to do business with another. The letter outlines the chief terms of a prospective deal. Commonly used in major business transactions, LOIs are similar in content to term sheets.
Components of a LOI Opening Paragraph: Your summary statement. Statement of Need: The why of the project. ( Project Activity: The what and how of the project. ( Outcomes (12 paragraphs; before or after the Project Activity) Credentials (12 paragraphs) Budget (12 paragraphs) Closing (1 paragraph) Signature.
Legal Consequences Suppose one party breaks the agreement or any binding terms in a letter of intent. In that case, they may suffer repercussions in the form of damages owing to the other party or additional penalties through a different resolution.
Cons. If a Letter of Intent is not properly worded, it may be considered as binding on the parties, resulting in unforeseen obligations and possible damages if the agreement is not eventually finalised.
The recipients address should appear on the left-hand side of the document. Use the specific name of the recipient on your LOI. Avoid using any general terminology such as Dear Sir or To whom it may concern. The introduction provided in your LOI might be the most important part of your letter.
Court Holds that a Letter of Intent is a Binding Contract When It Contains All the Material Terms of An Agreement. Parties to commercial/business transactions are no doubt familiar with term sheets, letters of intent, memoranda of understanding and agreements in principle.
Letters of Intent, sometimes referred to as memorandums of understanding, are frequently used in media transactions and are pre-contractual documents that set forth certain basic terms upon which parties intend to enter into binding definitive agreements.
