A common form of agreement in the construction industry is the letter of intent. A letter of intent is essentially an agreement to agree. The parties are agreeing that they will work together on a project and work out the details later.
What is a letter of intent? A letter of intent (LOI ) is a document drawn up when two parties come to a mutual agreement, but havent worked out all the details yet. This letter is presented before the finalized legal agreement, which means that a letter of intent is not legally binding.
A letter of intent will describe the types of services to be performed, the payment plan, the timeline of the contractors portion of the project, and other terms that enable the parties to negotiate the final contract in good faith.
In summary, an offer letter is a specific document related to a job offer with detailed terms, often binding upon acceptance. A letter of intent is a more general document expressing an intention to enter into a transaction or agreement, often used as a preliminary step in negotiations.
The LOA represents a formal acceptance of a contractors offer and initiates the contractual relationship, whereas the LOI expresses an intention to proceed with negotiations towards a formal contract but does not create binding obligations until a contract is executed.
