What is an Exclusivity Agreement? An exclusivity agreement is a legal contract between two parties that restricts one party (the licensee), usually an inventor, from selling its product to a certain purchaser (usually the other party) for a designated period of time.
Also known as a lock-out, shut-out or no-shop agreement. An agreement used to try to ensure that a party to a prospective transaction negotiates solely with a particular prospective transaction counterparty for an agreed period of time.
What is exclusivity? Exclusivity means that one party is restricted from buying, selling or otherwise partnering with other parties than the one on the other side of the contract. Exclusivity is used in contracts to limit what one party can do, usually to the commercial advantage of the other party.
Exclusive dealing or requirements contracts between manufacturers and retailers are common and are generally lawful.
Exclusive Supply Agreements are defined under Section 3(4)(c) of the Competition Act, 2002 (Act) as agreements restricting the purchaser from purchasing/dealing with goods other than those of the seller.
Clearly state that both parties have elected to enter into the agreement based on their interest and free will. Then, outline the terms upon which both parties agree. The next section should cover which party will provide goods or services exclusively to the other.
The exclusivity period shall begin on [Agreement. CreatedDate] and will conclude on [Agreement. EndDate]. During the exclusivity period, the Seller will under no condition solicit, sell, or promote any of the property listed within this exclusivity agreement to any other Parties.

An exclusivity clause in a Supply Agreement would do either or both of the following, depending on how it is drafted: Prevent the supplier from providing the same products to another business, or. Prevent the buyer from purchasing their products through another supplier.
