A clause in a contract that permits a party to terminate the contract before the end of its term without cause (commonly referred to as termination for convenience) or for a specified purpose.
The term words of conveyance refers to a clause that is included in a propertys deed. This clause states that the grantor intends to convey title to the land. Words of conveyance may also be referred to as a Granting Clause.
The termination for convenience clause is a contractual provision that allows a party to terminate a contract without cause.
Heres an example: Lets say a buyer puts down an offer for $160,000 on a home and another buyer comes along a week later and offers $190,000 instead. If a 72-hour clause has been written into the contract, the original buyer now has 72 hours to make a better offer than $190,000.
Termination for convenience can be used when the upstream party is uncomfortable or would like to sever ties with the downstream party but does not have a reason to terminate for cause. Terminating for convenience often arises when continuing with the project is not financially feasible or desirable.
A kick-out clause allows home sellers to continue showing and accepting offers even after accepting a contingent offer. A kick-out clause is a provision in a homes sales contract that allows sellers to accept a contingency while still showing their home in hopes of receiving a non-contingent offer.
A 72 Hour Kick-Out allows the seller to continuing marketing their property for other offers. If the seller gets another acceptable offer, before you the buyer are able to sell your home, the buyer will give you 72 hours to drop your home sale or lease contingency.
Termination for Convenience. Either party may terminate this Agreement without cause and at any time upon giving 30 days prior written notice to the other party (each, a termination for Convenience). Such termination will be effective on the date stated in the notice.
