Award-fee provisions may be used in fixed-price contracts when the Government wishes to motivate a contractor and other incentives cannot be used because contractor performance cannot be measured objectively. Such contracts shall establish a fixed price (including normal profit) for the effort.
A cost-reimbursable contract with an incentive fee is used to encourage performance in areas critical to the project. Often the contract attempts to motivate vendors to save or reduce project costs.
A fixed price incentive fee (FPIF) contract is a fixed price contract combined with an incentive fee. The seller will receive a bonus for finishing early or surpassing other metrics agreed upon in advance, such as quality. Incentives can be win-win for buyer and seller.
Incentive contracts allow sharing of the risks between the contractor and the client. The contractor is reimbursed all its justifiable costs in addition to a calculated fee.
An award fee contract provides an additional profit or fee amount that may be awarded, in whole or in part, based upon periodic evaluations of ongoing contractor performance.
Unlike Incentive type contracts, Award Fee contracts utilize subjective criteria. The criteria are not quantitative and cannot be translated into a formula. FAR 16.401(e)(1) outlines conditions that must be met when considering Award Fee contracts.
A cost-plus-incentive-fee contract is a cost-reimbursement contract that incentivizes the contractor to bring in the project under budget. A cost-plus-fixed-fee contract reimburses costs and pays the contractor a fee that is negotiated prior to signing the contract.
Award Fee: The amount is not predetermined in the contract and the fee is determined by the owner subjectively evaluating the contractors performance. Incentive Fee: The amount is predetermined in the contract based on achieving certain objectives agreed to in the contract.
