You can file Articles of Revival online if you received a company key giving you authority over the corporation (see Notice – Company Key). You can file directly with the Ministry of Government and Consumer Services (Ministry) through ServiceOntario at our website .ontario.ca/businessregistry.
You can only apply to Companies House to get your company restored (known as 'administrative restoration') if: you were a director or shareholder. it was struck off the register and dissolved by the Registrar of Companies within the last 6 years.
You may be able to apply for a court order to restore a company if: you did business with them....You'll then need to take further action to try and get your money: get a 'judgment' from court for the amount of the money you're owed together with interest and costs. issue a statutory demand. take out a winding up petition.
A company that has been struck off by voluntary dissolution can only be restored by court order....This should include: the reason for making the application. a full explanation why the company was struck from the register. the future of the company if restored.
Apply for administrative restoration a completed application for administrative restoration (form RT01) a cheque for £100, payable to 'Companies House' any outstanding documents, such as accounts or confirmation statements (previously annual returns) any filing fees or penalty payments.
Once a business entity is administratively dissolved, it is prohibited by statute from engaging in any activities other than those necessary to liquidate its assets and wind up its affairs.
In most cases of dissolution, a company's remaining assets are distributed to its shareholders or members after they have paid off outstanding debts from the proceeds of liquidation.
The Full Restoration Application (FORM 30, attached), is to be completed and submitted to the Corporate Registry for filing. Other outstanding filings of Annual Reports, Notice of Change of Directors, as well as the appropriate fees, must accompany the Restoration Application.
To apply for a court order, applicants must complete a claim form to restore the company by court order and send the completed form to the nearest court to the company's registered office that deals with bankruptcy.
You will need to file a certificate of revival, which is also known as an application for reinstatement, articles of revocation of dissolution, or an application for revival with the state.
