A novation is an agreement made between two contracting parties to allow for the substitution of a new party for an existing one.
Novation is substitution of old contract by a new contract by mutual agreement between the parties. Alteration means change in the terms of the existing contract by mutual agreement between the parties. The parties may either remain the same or a third party may be introduced.

Contract alteration occurs after a contract has been signed but one party seeks to modify the terms or key points of the contract with or without the consent of the other party.
