[Music] hello everybody my name is michael quinn im one of the directors and co-founder of the queen group this week on quintessential tv we will be discussing how a company constitution differs from replaceable rules a company is internally managed and governed by what are known as replaceable rules or a constitution or alternatively a combination of both whichever governance a company decides upon company directors and shareholders should understand the rules which govern their company while having a company constitution has the benefit of covering a broader range of matters the replaceable rules are effortless and efficient so what happens if the company doesnt have a constitution if the company is registered after the 1st of july 1998 the replaceable rules will automatically apply if the company does not have a constitution the only exception to this is if your company has a single shareholder who is also the sole director under the corporations act there are 39 replaceable rules

Article II The Executive Branch. At the head of this branch is the nationally elected President of the United States. The president swears an oath to faithfully execute the responsibilities as president and to preserve, protect and defend the Constitution of the United States.
Article II, Section 3 both grants and constrains presidential power. This Section invests the President with the discretion to convene Congress on extraordinary occasions, a power that has been used to call the chambers to consider nominations, war, and emergency legislation.
The Constitution provides, in the second paragraph of Article II, Section 2, that the President shall have Power, by and with the Advice and Consent of the Senate to make Treaties, provided two thirds of the Senators present concur. Thus, treaty making is a power shared between the President and the Senate.
Each State shall appoint, in such Manner as the Legislature thereof may direct, a Number of Electors, equal to the whole Number of Senators and Representatives to which the State may be entitled in the Congress: but no Senator or Representative, or Person holding an Office of Trust or Profit under the United States,
Section 1. The judicial Power of the United States, shall be vested in one supreme Court, and in such inferior Courts as the Congress may from time to time ordain and establish.
This clause is called the Advice and Consent clause, which means that the President can use his powers only by getting help and approval of the United States Congress.
Replaceable rules are in the Corporations Act and are a basic set of rules for managing your company. If a company doesnt want to have a constitution, they can use the replaceable rules instead.
The Supremacy Clause generated docHub controversy during debates over the Constitutions ratification. Anti-Federalist opponents of the Constitution argued that the Clause would make the national government overly powerful and infringe on state sovereignty.
