They are your bedrock guidance for what your nonprofit is and how it functions. They are very difficult to change, just like creating an amendment to the Constitution. Your bylaws are more like statutes, the laws that Congress passes, and they pass new ones every year because statutes are more specific, but also easier to change than the Constitution. Once your business or organization is incorporated, you can change the legal structure of your organization through an amend notice.
As a self-employed individual, you may decide to change your business activity. Whenever you change your business activity, you have to notify your tax services office. To find your office, go to Find a CRA address.
Your legal status can change in one of the following ways: partnership to limited partnership. corporation to sole proprietorship.
Share owners can transfer, that is sell their shares and the rights that go with them (also called rights attached to the shares). Transfers must conform to any conditions or restrictions that apply to the corporations shares and their transfer. For example, directors could have to approve all transfers of shares.
Generally speaking, changing a businesss structure involves: Filling out legal forms. Making legal documents. Filing those documents and forms with your state (and paying fees). Transferring liabilities and assets to the new business entity. Ending the prior business entity, if applicable.
In addition to internally approving the amendment, the business must also file it with the Secretary of State. Usually, the Secretary of State for the state in which the company is incorporated will have a link on their website that provides information about filing amendments.
You can file Articles of Amendment online if you received a company key giving you authority over the corporation (see Notice Company Key). You can file directly with the Ministry of Government and Consumer Services (Ministry) through ServiceOntario at our website .ontario.ca/businessregistry.
You can change your companys nature of business (SIC codes) as many times as you want, you would need to add the new SIC code in your confirmation statement and file it at Companies House. You can wait until the confirmation statement due date, or you can file it at any time during the year.
