thanks very much for joining us webinar on the latest issues for partnership agreements specifically gp partnership agreements which is what i spend all my time doing um uh my names oliver cool uh ive ive looked down the list delighted to see so many of you you joining and i i know many of you already but um for those i havent met uh this is who i am uh im a partnership specialist so i spend 100 of my time advising uh gp partnerships and occasionally gps in their in their personal capacities uh im part of a wider team at vwv uh were quite a big firm weve got offices throughout the south of england bristol london birmingham watford and we merged in 2017 with a firm called lockhart who many of you will know who are also specialists in in in primary care between us the two firms we reckon weve acted for over 2 000 gp practices which is about a quarter of all the practices that there are so hopefully we know what were talking about um as i say i just deal with the partnership sid

Some important items for a bands LLC operating agreement include: Ownership of the band name. Ownership of equipment. Ownership of music/songs. Management and distribution of revenue and profits. Decision-making processes. Specific responsibilities and contributions of each individual member.
A federal trademark comes into play to help your band stay distinctive. Trademarks are registered through the U.S. Patent and Trademark Office (USPTO) and can be verified with a trademark search to see if a name is available.
However, absent a federal trademark registration, your rights in a mark are limited geographically to the scope of your reputation. Therefore, without a trademark, it is possible for two bands to exist with the same name, and neither would have a claim against the other unless the docHub of the bands overlaps.
Typically, the issue of who owns the band name is dealt with in the Band Agreement. Often a leaving member will forfeit their rights in the name when they leave the band. In such a situation, the remaining members can continue using the name.
Some simple solutions are: The name is owned by one or more members, and only a band that includes that member or members can use the name. Or the name is the exclusive property of the band as a group and not owned by any individual member. And any member who leaves the group has no right to use the name.
If the name is taken, you may be able to trademark it if it hasnt been already. The first band to register a name gets federal trademark protection for it, even if someone else is using it. Still, it may be locally trademarked by another band.
What now? Take some time off. Before you dive right into a new project, take a step back and evaluate both the good and the bad of your last band, and what factors contributed to the breakup. Start a new band. Join an established band. Go solo. Become a freelance musician.
Seriously, Stop Using Our Name. Perhaps its best to talk to someone who can reason with them. Perhaps they have a manager or their own lawyer, who understands the severity of trademark infringement. It may be time for you to start looking for legal representation.
