There are various exceptions to Section 409A, including qualified plans like pension and 401(k) plans, and welfare benefits including vacation leave, sick leave, disability pay, or a death benefit plan.
Investing your deferred compensation Your plan might offer you several options for the benchmarkoften, major stock and bond indexes, the 10-year US Treasury note, the companys stock price, or the mutual fund choices in the company 401(k) plan.
With a better idea in what common stock and preferred stock are, you need to know that 409A valuations consider preferred stock to have the same value as the common stock, which is why the value taken is a lower value.
A 409A valuation is presumed reasonable if the stock was valued within 12 months of the applicable option grant date and no material change has occurred between the valuation date and the grant date. If these requirements are met, the burden is on the IRS to prove the valuation is grossly unreasonable.
Non-Qualified distributions are subject to all applicable taxes and a 10% early withdrawal penalty. Funds can be rolled over to another Roth 401(k), Roth 457, Roth 403(b), or Roth IRA.
Whether a payment or right to a payment is a substitute under section 409A is determined based on all facts and circumstances. In some instances, when the new payment or right explicitly results in the reduction or offset of the existing right, the new amount is clearly a substitute.
Under section 409A, a modification of a stock option or SAR is generally treated as the grant of a new award that must meet all requirements as of the grant date of the new award.
