While the articles of incorporation are externally-filed formation documents, bylaws are more of use to a company when used internally. Bylaws set the internal processes and organization of how the company should be run. Bylaws outline the rules and procedures for the management of a company.
(If your corporation is a nonprofit, use Floridas Articles of Amendment Not for Profit Corporation form.) The fee for both profit and nonprofit corporations is $35. To file an amendment for a Florida LLC, youll need to fill-out Floridas Articles of Amendment LLC form, and pay the associated $25 filing fee.
To make amendments to your Florida Corporation, you must provide the completed Cover Letter and Articles of Amendment to Articles of Incorporation forms with the filing fee to the Department of State by mail or in person. You cannot file amendments online.
To make amendments to your Washington State Corporation, you must provide the completed Articles of Amendment form and provide them to the Secretary of State by mail, by fax or in person, along with the filing fee.
To add or remove an Officer, Director, or Manager, you will need to file an amendment or the annual report for the current calendar year or an amended annual report.
Whichever route you choose, under Florida Statute 607.0202, you must always include these five provisions in articles of incorporation. The Corporate Name. Principal Address. Capital Stock. The Registered Agent and Office. The Name and Address of Each Incorporator.
You must file Florida LLC Articles of Amendment by mail, fax or in person with the Florida Division of Corporations. Accompanying the filing, you must submit a $25 processing fee. You must also include a Cover Letter which lists the name of the LLC and the name and contact information of the filer.
