A resolution is a formal way in which a company can note decisions that are made at a meeting of company members. There are two types of resolutions: ordinary and special. Under the Corporations Act 2001, most of the decisions that affect a company need to be made by a resolution.
A Directors Resolution to Appoint or Remove Directors is a resolution passed by the directors of a company to appoint a new director, typically to fill a casual vacancy on the board. Generally, a new director must be appointed by the shareholders of a company.
A resolution is considered an official board action and it requires a quorum. Board directors must document all official board actions, including resolutions, in their meeting minutes. Before voting on a resolution, they need to be aware of any requirements for a quorum as specified in the Constitution of the Company.
Directors Resolution in Writing (DRIW) is a written document consisting of resolutions passed by the directors when a physical meeting is not held. It needs to be posted in the minute book of the company and maintained by the company secretary. It can either be a physical copy or an electronic version.
How to fill out a resolution of the Board of Directors? Date, time, and location of the meeting. Appropriate title about the decision to be made. Statement of majority or unanimous decision. Lastly, the resolution is stated. Officers responsible for carrying out the resolution will be stated.
An ordinary resolution is a resolution passed by at least 50% of the quorum present at the meeting. Whereas a special resolution is a resolution passed by at least 75% of the quorum present at the meeting.
Like every legal document, resolutions need to be signed and dated by the members of the board as they would do with minutes of meetings.
The board resolution for the appointment of director in company must identify the names of the director (s), their designation, the entity, and their consent. It must be two-staged. The resolution must be approved by the meeting to cover any future disputes.
