its a huge pleasure to be here I really enjoy these interactions between academics and practitioners and their stance says before I actually go into the evidence for the link between corporate governance and shared returns I want to take a step back and ask what is corporate governance to begin with because I might actually convey a different view to what we typically see in the media so heres an example of a news event which was seen to be really bad corporate governance by many people this was the pay of a bob iger the CEO of Disney this was seem to be extortioner so he received one thousand four hundred and twenty four times the median employee yes we think CEOs add some value but over 1,000 times this is surely excessive and even Abigail Disney the heir to the Disney fortune said that this was insane calling for a crackdown on the levels of CEO pay and this is not an isolated case right if you were to stop any person in the street and ask him or her why capitalism is not working

The UK Corporate Governance Code (formerly known as the Combined Code) sets out standards of good practice for listed companies on board composition and development, remuneration, shareholder relations, accountability and audit. The code is published by the Financial Reporting Council (FRC).
6.2 The Board shall evaluate economic, political, social and legal issues on a regular basis, as well as any other relevant external matters that may influence or affect the development of the business or the interests of the shareholders and, if appropriate, obtain independent expert advice.
It is based on the underlying principles of all good governance: accountability, transparency, probity and focus on the sustainable success of an entity over the longer term.
What does Box-ticking mean? Often used in corporate governance, to emphasise that pension funds should look at the broad issues rather than detailed rules when deciding whether the companies they are invested in are compliant with guidance.
5. The board should understand the views of the companys other key stakeholders and describe in the annual report how their interests and the matters set out in section 172 of the Companies Act 2006 have been considered in board discussions and decision-making.
Review your charter annually: The charter should state the timing and process for reviewing and updating the charter itself, which we recommend be done annually or when there are changes in the organisation such as a restructure or major strategic initiative.
The Code is separated into five sections: Board Leadership and Company Purpose; Division of Responsibilities; Composition, Succession and Evaluation; Audit, Risk and Internal Control; and Remuneration, and it operates on a comply or explain basis.
It has also been designed to cross-reference the FRCs Corporate Governance Code, and is centred on five fundamental principles of corporate governance: integrity, objectivity, professional competence and due care, confidentiality, and professional behaviour.
