- Hi guys, Clint Coons here with Anderson Business Advisors, and in this video, we are gonna talk about some of the stupid mistakes (graphics whooshing) people make when it comes to creating their LLC operating agreements. (graphics whooshing) All right. Lets get started. (upbeat music) Okay, so Im gonna talk about some mistakes that I see, oftentimes, when I review existing operating agreements that people have set up with either inexperienced attorneys that are not familiar with creating operating agreements for real estate investors. Or worse yet, you went on the internet, right? You went to Legal, I mean Zoom.com and said, Give me an operating agreement. And you think youre protected. This happens all the time. People have these operating agreements that theyre owning real estate under. In certain states, you will need to file an annual report instead of articles of amendment when changing the members of your LLC. You can amend your operating agreement whenever and however you need, unless the amendments violate LLC rules in your state.
To execute an LLC Amendment, members typically sign the document to indicate their consent and agreement to the proposed changes. Notarization or witness signatures may be required in some cases, depending on state laws and the terms of the Operating Agreement.
How to make an amendment to your operating agreement Get consent from all members or managers. Any member can suggest a change to your LLC operating agreement. Draft an amendment to the LLC operating agreement. Sign your new operating agreement.
(1) An operating agreement may specify that its amendment requires the approval of a person who is not a party to the agreement or upon the satisfaction of a condition. An amendment is ineffective if its adoption does not include the required approval or satisfy the specified condition.
The LLCs Operating Agreement must be amended to reflect that a new member is now part of the LLC, or to reflect the removal of a member, and all current members must sign the newly amended Operating Agreement, but you are not required to file the amended Operating Agreement with the state of Delaware.
Owners of a Delaware LLC can add or change members at any time simply by amending the LLC Operating Agreement. Delaware does not require owners to make any additional public filings to add members to their LLC.
To amend your corporation in Delaware, there is a $194 filing fee required. You may request expedited processing for an additional $1000 for one-hour service, $500 for two-hour service, $200 for same day service, or within 24 working hours for an additional $100 fee.
