Removing a shareholder from a company We are often asked the question, can a majority shareholder remove a minority shareholder? The answer to this is that there is no automatic right for majority shareholders to force a minority shareholder to sell his/her shares.
There are a number of ways a majority shareholder may remove a minority shareholder, and doing so is not necessarily wrong. For example, the majority shareholder may buy out the minority shareholders shares, either by following the terms of the shareholder agreement or by negotiating with the shareholder.
There is no automatic right that allows one party to force another party to sell their shares. However, there are possible routes to gaining the outcome you desire, (but the appropriate care needs to be taken in each case!)
If youre proposing to remove a director by ordinary resolution, the companys board of directors will need to send the members what is called special notice of the proposed resolution to remove a director at a members meeting.
A shareholder wishing to remove a director must give special notice of their intention to the company, which then has 28 days to call a general meeting. At this meeting, shareholders will vote on the proposed resolution. If it is passed by a simple majority, then the director will be removed from their position.
When a company wants to remove a minority shareholder, they have the option of buying back the shares. However, the shareholder can refuse to do this. So the next option is rather drastic and time-consuming. The company can be wound up (voluntarily).
Removing a minority shareholder will be simplest if you have a well-drafted shareholders agreement. Such an agreement will usually stipulate that the majority shareholder can buy out the minority at a predetermined price, or at a price determined by a mechanism specified in the agreement.
